Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Edey mobile application or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Edey. We reserve the right to modify these Terms at any time, and continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

Edey is a social commerce platform that enables sellers to create product listings, generate unique checkout links, and receive payments via mobile money. The Service facilitates transactions between sellers and buyers but Edey is not a party to the transaction itself. Edey acts as a technology intermediary and payment facilitation service, not as a buyer, seller, or agent for any user.

3. Eligibility

To use Edey as a seller, you must be at least 18 years of age, have a valid Ghanaian mobile phone number, and have a mobile money account registered in your name. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate and truthful.

4. Seller Obligations

As a seller on Edey, you agree to:

• List only products you own or have the legal right to sell
• Accurately describe your products, including condition, specifications, and pricing
• Fulfil all orders placed through the platform in a timely manner
• Not list counterfeit, stolen, prohibited, or illegal goods
• Not engage in fraudulent activity, price manipulation, or deceptive practices
• Comply with all applicable Ghanaian laws including consumer protection regulations
• Maintain accurate stock levels and promptly remove sold-out items

5. Fees and Payments

Edey charges a transaction fee of 5% of each successful sale. This fee is automatically deducted before funds are settled to your mobile money account. There are no monthly subscription fees, listing fees, or other recurring charges. Payment processing is handled by Paystack and is subject to Paystack's own terms and fees. Edey reserves the right to modify its fee structure with 30 days' prior notice.

6. Prohibited Items

You may not list or sell the following items on Edey:

• Counterfeit, forged, or unauthorised replicas of branded goods
• Illegal drugs, controlled substances, or drug paraphernalia
• Weapons, firearms, ammunition, or explosive devices
• Adult or pornographic content
• Stolen goods or goods obtained through illegal means
• Hazardous materials or items that pose a safety risk
• Any item whose sale is prohibited under Ghanaian law

Violation of this section may result in immediate account suspension and potential legal action.

7. Refunds and Disputes

Edey provides the technology platform but does not guarantee the quality, safety, or legality of the items listed by sellers. Refund and return policies are set by individual sellers. In the event of a dispute between a buyer and seller, Edey may, at its discretion, assist in mediation but is not obligated to resolve disputes or issue refunds. Sellers are solely responsible for handling customer complaints and returns.

8. Account Suspension and Termination

Edey reserves the right to suspend or permanently terminate your account at any time, without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, received excessive buyer complaints, or otherwise acted in a manner that harms Edey, its users, or third parties. Upon termination, your right to use the Service ceases immediately. Any pending transactions will be handled according to our standard settlement procedures.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Edey shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to lost profits, lost revenue, data loss, or business interruption. Edey's total liability to you for any claims arising out of or related to the Service shall not exceed the total fees paid by you to Edey in the six months preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
